 RULES of the Club (Bulgarian Creative Arts)

1. General

1.1 The Name of the Club shall be “Bulgarian Creative Arts”

1.2 The Club is located in London, England.

1.3 The Club shall be consisting of a Committee, Ordinary Members together with Honorary Members and Associate Members.

2. Objectives

2.1 To promote and provide opportunities for talented Bulgarian nationals who are worthy of international recognition. Artists shall be selected impartially based on talent and achievements. The Club (Bulgarian Creative Arts) shall consider achievements in the visual arts, cinema, theatre, music and literature.

2.2 The Club’s role shall be to create events presenting the achievement to an audience/viewer, broadening the perception of Bulgarian art and culture.

2.3 These events shall aim to present the artist to a range of London’s main venues, critics, managers and recognised industry producers.

2.4 The Club’s role shall be complimentary to, and work in collaboration with, other related organisations which aim at developing a positive image of Bulgaria. The club has established links with the following organisations and companies:

2.5 To concentrate on addressing the events to the British and London based community, promoting awareness among the Audiences related to Bulgarian Art and Culture.

3. Membership

3.1 The first ordinary members shall be the named signatories to the original copy of these Rules who, having determined to form themselves into a club more than two days before these rules are intended to become operative, are in this rule referred to as the founder members. Every candidate for ordinary membership other than the founder members must be invited by the Committee of the Club.

3.2 Honorary members, who shall not be liable to pay any membership or subscription but shall be entitled to all the privileges of a membership, may be invited by the Committee. This invitation shall be based only on their significant contribution towards the objectives and goals of the Club.

3.3 The Committee may also invite Associate Members. Associate members, who shall not be liable to pay any entrance fee to the events organised by the Club or the Annual Subscription, shall be entitled to all the privileges of membership, but shall have no vote at any meeting of the Club. Associate membership shall be for one year unless renewed by the Committee of the Club.

4. Committee and Officers

4.1 The affairs of the Club, in all matters not in these rules reserved for the Club inGeneral Meeting, shall be managed by the Committee of the Club.

4.2 The Committee shall consist of a minimum of five ordinary members of the Club who shall be invited by the Founder of the Club at the Annual General Meeting of the Club and shall include the President, General Committee Members and the Treasurer.

4.3 All nominations to fill vacancies in the Committee shall be delivered to the Committee Members twenty-one clear days before the date of the Annual General Meeting. Failing such delivery, such vacancies may be filled by unanimous vote of the Club in General Meeting.

4.4 The Committee shall normally meet once in every three months, and at such other times as it may decide to transact current business. Minutes of the proceedings shall be entered in a book and confirmed at the next meeting.

4.5 Any member of the Committee who has ceased to be a member of the Club or who has not attended any meetings of the Committee during the twelve months preceding any Annual General Meeting shall cease to be a member of the Committee provided that in the latter case the General Committee shall have power to reinstate such member if, in its opinion, non-attendance has been justified.

4.6 There shall be a President, at least three Committee Members and a Treasurer; and such other officers of the Club as the Club may in General Meeting appoint. The Treasurer and every such officer shall act in all matters in accordance with the directions of the Committee of the Club.

5. Funding, Subscriptions, Finances and Accounts

5.1 The Funding of the Club (Bulgarian Creative Arts) shall aim at supporting the staging of events for the presentation and reception of Bulgarian culture: concerts, exhibitions, cinema and theatre shows, forum for literary aspects.

5.2 The benefit to the artist/s is the opportunity to present their work in front of a competent London and UK based audience, critics, promoters, etc.

5.3 The Club is a non-profit organisation, and shall reinvest all the proceeds of income from ticket sales, sponsorships and subsidies after the deduction of expenses to the organisation of future events.

5.4 All the committee members of Bulgarian Creative Arts shall donate their work free of charge, excluding the following expenses:

a. Travel expenses

b. Telephone bills expenses

5.5 The decision on funding specific events shall be taken unanimously from the Committee of the Club on their Meetings.

5.6 All the sponsorships, proceeds and subsidies shall be paid directly and only to the Account of the Club (Bulgarian Creative Arts). No personal cheques or Bank transfers are permitted.

5.7 The annual subscription for an ordinary member is fixed at £25 per annum. At the discretion of the Committee a member may be allowed to pay a reduced subscription.

5.8 Annual subscriptions shall be payable on the first day of membership and thereafter without demand on expiry of the membership in every year. The Committee may terminate the membership of any member whose annual subscription remains unpaid on the second month after the deadline.

5.9 The Treasurer shall keep such proper books of account as will enable him or her to present at every Annual General Meeting of the Club, or at any other time if required (on reasonable notice to him) by the Committee.

5.10 An accurate report and statement concerning the finances of the Club for the preceding year, or for the current year as the case may be, shall be prepared. The Treasurer shall post such report and statement to all the members within one week of the respective Annual General Meeting of the Club.

5.11 The Treasurer shall hold all cash and other financial resources of the Club in trust for the use and benefit of the activity of the Club in accordance with any directions given to him by the Committee.

6. General Meetings

6.1 An Annual General Meeting of the Club shall be held in every year. Notice of the day and time and location of the Annual General Meeting shall be communicated to all members at least one month before such day.

6.2 An Extraordinary General Meeting of the Club may be summoned at any time by the Committee. An Extraordinary General Meeting shall be summoned by notifying the members in at least fourteen days immediately before the day appointed for the meeting, but this period may be abridged in the discretion of the Committee if the urgency of the business to be discussed in their opinion so requires.

6.3 At any General Meeting of the Club every member of the Club shall be entitled to be present, and every ordinary or honorary member shall be entitled to one vote upon every question raised. In the case of equality of voting, the chairman of the meeting shall have a second or casting vote. The Committee Member nominated for that purpose by the Committee shall take minutes of the proceedings at all General Meetings of the Club.

7. Bylaws

7.1 The Committee may from time to time make, vary and revoke bylaws (not inconsistent with these rules) for the regulation of the internal affairs of the Club and the conduct of members, and the bylaws for the time being in force shall be binding on all members unless revoked or modified by the members in General Meeting.

8. Alteration of rules

8.1 These rules may be revoked, added to or altered by a majority comprising two-thirds or more of the members present and entitled to vote at any General Meeting of the Club, specifying the intention to propose the revocation, addition or alteration, together with full particulars thereof.

9. Exclusion of liability

9.1 Neither the Club nor any officer thereof shall be liable to any member for any loss of or damage to any property occurring, from whatever cause, in or about the Club premises or in connection with any event or activity organised by the Club.

10. Rules and Bylaws

10.1 The Rules and any bylaws of the Club shall be made available to each member. Members shall be bound by the Rules and bylaws of the Club in force at any time.
